Our client is the private equity arm of a large global asset manager.

Key Responsibilities

• Manage corporate records, including minute books and entity databases;
• Track and document flow of funds, including capital contributions, dividends, return of capital distribution, transfer of interest, ownership changes, and governance updates;
• Draft and review resolutions and legal documents supporting transactions, financings, and restructurings;
• Assist with entity formation of entities and dissolution processes;
• Liaise with internal teams, legal counsel, and external advisors;
• Coordinate annual filings, corporate searches, and registrations (Canada and U.S.);
• Support banking setup, including KYC and account opening requirements; and
• Assist with ongoing compliance, reporting, and regulatory filings.
